1. Acceptance of Terms

By accessing and using eulaw.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

eulaw.ai is an AI-powered legal document processing platform that provides intelligent analysis of European legal documents using advanced AI technology. The Service includes:

  • Comprehensive Knowledge Base: Access to 59,000,000+ legal articles and paragraphs from 80+ verified sources covering the EU and Denmark

  • Document Processing: Upload, analyze, and maintain documents throughout entire conversation sessions

  • Subscription Management: Stripe-powered payment processing and account management

3. User Accounts

3.1 Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account.

4. Subscription and Payment

4.1 Paid Services

Access to the Service requires a paid subscription. Subscription fees are charged in advance on a monthly basis and are non-refundable except as required by law.

4.2 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

4.3 Right of Withdrawal (EU Consumers)

Under the EU Consumer Rights Directive (2011/83/EU), you have the right to withdraw from your subscription within fourteen (14) days of purchase without giving any reason. To exercise this right, contact us through the support section in your account. If you have actively used the Service during the withdrawal period, we may deduct a proportional amount for the services already provided. Refunds will be processed using the same payment method used for the original purchase within fourteen (14) days of receiving your withdrawal request.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for:

5.2 Prohibited Use

You may not:

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by eulaw.ai and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content and Documents

You retain all rights to documents you upload to the Service. By uploading documents, you grant us a limited, non-exclusive license to:

  • Process and analyze your documents using our AI technology
  • Store your documents securely for the duration of your account
  • Enable features such as persistent document access across conversations

Important: We do not claim ownership of your uploaded documents and do not use them to train our AI models or for any purpose other than providing our Service to you. You are in full control of your data, and can manage it at anytime including full deletion. Your data will never leave our infrastructure and servers.

7. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers and Limitations

8.1 Service Availability

We do not guarantee that the Service will be available at all times. We may suspend or terminate the Service for maintenance, updates, or other reasons.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EULAW.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8.3 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR
  • ONE HUNDRED EUROS (€100)

This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, strict liability, or otherwise.

Nothing in these Terms excludes or limits our liability for gross negligence, intentional misconduct, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.

8.4 AI-Specific Disclaimers

Given the nature of AI technology:

  • AI responses may contain inaccuracies and should always be independently verified
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated content
  • You are solely responsible for how you use AI-generated information
  • The Service is not a substitute for professional legal advice or consultation

9. Indemnification

You agree to defend, indemnify, and hold harmless eulaw.ai and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

10. Termination

10.1 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you materially breach these Terms. For non-material breaches, we will provide written notice and a reasonable cure period of at least fourteen (14) days before termination.

10.2 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings.

10.3 Effect of Termination

Upon termination or expiration of your account:

  • Your right to use the Service will cease
  • You will have thirty (30) days from the date of termination to export your data, including uploaded documents, chat history, and any other content associated with your account
  • After the 30-day export period, we will permanently delete your data in accordance with our Privacy Policy
  • Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will continue to apply

11. Governing Law

These Terms shall be interpreted and governed by the laws of Denmark and the European Union. Any disputes will be resolved in the courts of Denmark.

The foregoing does not deprive consumers of the protection afforded to them by provisions that cannot be derogated from by agreement under the law of their country of habitual residence (Article 6 of Regulation (EC) No 593/2008, Rome I).

12. Dispute Resolution

In the event of any dispute arising from or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may submit the dispute to the courts of Denmark as specified in Section 11.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and eulaw.ai regarding the Service and supersede all prior agreements, understandings, and communications.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

13.3 Force Majeure

eulaw.ai shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.

13.4 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

13.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
